1. Introduction
These Terms & Conditions govern your access to and use of CodeFlux’s products, services, and website. By registering for an account or purchasing a plan, you agree to these terms and any related policies referenced herein.
CodeFlux  (“CodeFlux”, “we”, “our”, or “us”) provides AI-driven optimization and analytics systems designed to enhance performance, efficiency, and energy use across connected devices, networks, and enterprise systems.
2. License and Use
Upon purchase or activation, CodeFlux grants you a limited, non-exclusive, non-transferable license to use the software for your internal business purposes.

  • Pro and Enterprise licenses are device-based unless otherwise stated in a written agreement.

  • The licensee may not copy, reverse engineer, modify, or distribute the software.

  • Access to the platform is granted via registered accounts and verified activation IDs.

Enterprise customers may request additional seat licenses under a separate Master License Agreement.
3. User Obligations
You agree to:

  • Provide accurate information during registration and payment.

  • Use CodeFlux only for lawful purposes.

  • Maintain confidentiality of login credentials and activation codes.

  • Refrain from reselling, sublicensing, or redistributing CodeFlux without written approval.

Violation of these obligations may result in immediate suspension or termination of your account.
4. Payments & Renewals

  • All prices are shown in GBP (or converted equivalents).

  • Subscriptions renew automatically at the end of each billing cycle unless cancelled beforehand.

  • Payment failures may result in account suspension until balance is cleared.

  • Enterprise clients are invoiced as per agreed payment terms.

5. Intellectual Property
All software, AI models, code, and trademarks are the sole intellectual property of CodeFlux Technologies Ltd and its founder, Ido Ben Aroya.
No ownership rights are transferred to customers — only a license to use the technology under these terms.
6. Service Availability
CodeFlux strives to provide continuous service availability with an uptime target of 99.5%. Maintenance periods will be announced in advance. CodeFlux shall not be held liable for interruptions caused by third-party failures, force majeure, or network outages.
7. Limitation of Liability
To the maximum extent permitted by law:

  • CodeFlux shall not be liable for any indirect, consequential, or incidental damages.

  • Our liability shall not exceed the total amount paid by the customer in the preceding 12 months.

  • We do not guarantee that CodeFlux will meet every specific operational requirement or deliver guaranteed profit.

8. Governing Law
These Terms shall be governed by and construed under the laws of England and Wales. Any disputes shall be handled under exclusive UK jurisdiction.
